Maintenance Agreement Policy

  1. Definitions

    "Maintenance Software" includes both Upgrades and Updates to licensed AEC Software products. Upgrades are new versions of the software that contain significant new features or enhancements. Updates are minor releases that include bug fixes and minor improvements. The Maintenance Agreement also includes access to Premium Technical Support services.

  2. Purchase

    The Maintenance Agreement is available for purchase as a subscription for a fee. The default subscription term is one (1) year from the date of purchase.

  3. Fees

    Maintenance Agreement fees are based on a percentage of the current list price of the licensed software product.

  4. Grace Period

    A 14-day grace period is provided after the expiration of a Maintenance Agreement. During this period, the agreement may be renewed without additional reinstatement fees.

  5. Reinstatement

    If a Maintenance Agreement has lapsed beyond the grace period, reinstatement fees will apply in addition to the standard renewal fee. Reinstatement fees cover the period during which the agreement was not active.

  6. Version Requirement

    To be eligible for a Maintenance Agreement, you must be running the current version of the licensed software product. If you are not on the current version, you must first upgrade before purchasing or renewing a Maintenance Agreement.

  7. Non-Transferable

    Maintenance Agreements are non-transferable and are tied to the original licensee and serial number. They may not be transferred to another party or applied to a different license.

  8. Non-Refundable

    Maintenance Agreement fees are non-refundable. No partial or full refunds will be issued for any reason, including early cancellation.

  9. Disclaimer

    Maintenance Software is provided "AS IS" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

  10. Limitation of Liability

    In no event shall AEC Software be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of or inability to use the Maintenance Software, even if AEC Software has been advised of the possibility of such damages.

  11. Governing Law

    This agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

  12. Entire Agreement

    This Maintenance Agreement Policy constitutes the entire agreement between you and AEC Software regarding the Maintenance Agreement and supersedes all prior agreements and understandings, whether written or oral.

  13. Updates to Terms

    AEC Software reserves the right to update or modify the terms of this Maintenance Agreement Policy at any time without prior notice. Continued use of the Maintenance Agreement after changes are posted constitutes acceptance of the revised terms.

  14. Opt-out

    If you wish to opt out of communications related to your Maintenance Agreement, you may do so by using our unsubscribe form.
